## Current ask from Roza

Roza asked for:

1. Time zone and availability to schedule an online meeting.
2. Company profile reflecting Cultshot’s interest in establishing a presence in Qatar.
3. Answers to:
   - Services offered or intended to be offered.
   - Target market.
   - Competitive advantage.
   - Business model.
   - Ownership and rights over core assets.
   - Projected revenues, financial forecast, expected income streams.
   - Capital investment and planned use of funds.
   - Previous experience and team profiles.

## 2024 registration process Roza provided

From Roza’s 2024-11-26 email, for the previous Cinemoz setup discussion:

1. Go to QFC setup portal: `https://eservices.qfc.qa/register/`.
2. Complete the initial form.
3. Step 2, company details:
   - In the outline/description field, start with the line:
     - “establishing a company under Media City Qatar”
   - Then provide a brief company description.
4. Step 4, booking a meeting:
   - Select “instructions over email” from the drop-down menu.
5. After submitting the initial form:
   - Receive auto-generated email with reference code.
   - Share the reference code and company name with Roza to activate the application.

## 2024 fee reference

Roza’s 2024 fee reference:

| Fee | Amount |
| --- | ---: |
| Application fee | USD 5,000 |
| Annual license fee | USD 5,000 |
| First activity | Free |
| Additional/corresponding activities | USD 50 per activity |

Need confirmation that these are still current in 2026.

## Draft application description

Start with required phrase:

> establishing a company under Media City Qatar

Then:

> establishing a company under Media City Qatar to develop and operate legally clear generative AI production tools for narrative filmmaking, animation, VFX, post-production, and media technology workflows. Cultshot builds project-specific models and pipelines trained on rights-holder-authorised assets, enabling productions to create keyframes, shot options, visual bibles, VFX references, localization workflows, and derivative marketing material while maintaining provenance, rights documentation, and client control over project assets.

## Activity selection to confirm

Ask Roza which activity/activity codes fit best. Likely categories to discuss:

- Media production technology.
- AI software / software development.
- VFX and post-production services.
- Animation production technology.
- Film/TV production support services.
- Digital media services.
- Content technology / media innovation.

The key question: should Cultshot select one primary activity and add corresponding activities, or select multiple activities from the start?

## Entity structure options to decide

Options to explore:

1. New Qatari LLC under Media City Qatar/QFC using the Cultshot name.
2. Branch or subsidiary of Cultscale LLC.
3. Qatar operating company with Cultscale LLC retaining IP/tooling and licensing to the Qatar entity.
4. Qatar entity as commercial/client-facing vehicle for MENA and global media-tech engagements.

Questions for counsel/Roza:

- Are foreign-owned LLCs permitted under this route and under what conditions?
- Does having Aya Al Blouchi as Qatari co-founder affect structure, documents, ownership thresholds, or incentives?
- Can an existing foreign entity be converted/connected later?
- Which structure is simplest for signing international SOWs and holding client contracts?
- Should project-specific model IP live in the Qatar entity, Cultscale LLC, or be contractually licensed?

## Documents likely needed

Need current checklist from Roza/QFC. Based on typical incorporation workflows, expect some mix of:

- Passport copies and IDs for shareholders/directors.
- Proof of address.
- CVs/profiles for founders and managers.
- Company profile/business plan.
- Financial forecast and expected income streams.
- Ownership chart / shareholder details.
- Proposed company name.
- Proposed activities.
- Source of funds / capital plan.
- Existing company documents if using Cultscale LLC as shareholder.
- Board/shareholder resolutions if a company shareholder is involved.
- Engagement/contracts or proof of commercial activity, if requested.

Do not rely on this list until Roza confirms the current official checklist.

## Questions to send Roza

- Is Cultshot eligible under Media City Qatar given the AI, production technology, VFX, post-production, and media software focus?
- Which primary and secondary activities should we choose?
- Are the 2024 fees still accurate?
- What is the current timeline from initial application to license issuance?
- What documents are required at the initial stage versus later stages?
- Are there 2026 incentives, waivers, grants, or support schemes for AI/media technology companies?
- Does a Qatari co-founder change the recommended path or available benefits?
- Should we submit the QFC initial form before or after the online meeting?
- For the company description, should we include “AI” explicitly or use “media technology / production technology” phrasing?
- Can current international SOWs signed by Cultscale LLC be assigned to, mirrored by, or used as proof for the new Qatar entity?

## Suggested reply to Roza

Subject: RE: Cultshot x Media City Qatar

Dear Roza,

Thank you. I’m currently on Doha time / GMT+3 and I’m flexible this week. I can make any of the following work:

- [option 1]
- [option 2]
- [option 3]

I’ll also prepare and share a short company profile covering the points you listed: services, target market, competitive advantage, business model, rights/assets, projected revenue, capital needs, and team.

For the meeting, it would be helpful to confirm whether Cultshot’s AI production technology, VFX, and post-production focus is eligible under Media City Qatar, and which activity or activities you recommend we select.

Many thanks again,
